Terms of Service

1. Acceptance

By accessing or using Bina, you agree to be bound by these Terms and our Privacy Policy. If you are using Bina on behalf of an organization, you represent that you have authority to bind that organization.

2. The service

Bina is the intelligence layer for modern business — a modular platform that captures how your operation runs and turns it into a structured comprehension layer (including modules such as Discovery and Content). We may update, add, or remove features over time.

3. Accounts and eligibility

You are responsible for the accuracy of your account information and for safeguarding your credentials. You are responsible for activity under your account. You must be at least 18 and able to form a binding contract.

4. Your data and ownership

You own your data. The recordings, documents, source material, and other content you provide ("Customer Data") remain yours. You grant Bina a limited license to host, process, and analyze Customer Data solely to provide and improve the service to you. Deliverables Bina generates for you are yours to use.

5. Acceptable use

You agree not to:

• Upload content you do not have the right to share, or that is unlawful.
• Record individuals without any consent required by applicable law.
• Attempt to breach security, access other tenants' data, or disrupt the service.
• Reverse engineer or resell the platform except as permitted by law.
• Use Bina to build a competing product from our confidential information.

6. Intellectual property

Bina and its underlying software, models configuration, design, and brand are owned by Bina and its licensors. Except for the rights expressly granted to you, no rights are transferred.

7. Fees and billing

Paid plans are billed through our payment processor on the terms presented at purchase. Fees are non-refundable except where required by law or expressly stated.

8. Confidentiality

Each party may receive confidential information from the other. We treat Customer Data as your confidential information. Where a mutual non-disclosure agreement (NDA/MNDA) applies to an engagement, its terms supplement these Terms.

9. AI-generated output

Bina uses AI to analyze content and generate deliverables. AI output may contain errors and is provided for your review; you are responsible for verifying outputs before relying on them. We do not warrant that outputs are accurate, complete, or fit for a particular purpose.

10. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law.

11. Limitation of liability

To the maximum extent permitted by law, Bina will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability arising out of or relating to the service will not exceed the amounts you paid to Bina in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify Bina against claims arising from your Customer Data or your breach of these Terms, to the extent permitted by law.

13. Term and termination

You may stop using Bina at any time. We may suspend or terminate access for breach of these Terms or to protect the service. On termination, the data-handling practices in our Privacy Policy apply.

14. Governing law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws rules, unless otherwise required by applicable law.

15. Changes

We may update these Terms from time to time. Material changes will be posted here with a revised "Last updated" date; continued use after changes constitutes acceptance.
